3. Position of Promise in Corporate Group of Parent Company, and Other Relationship with Parent Company
Promise is an equity-method affiliate of Sumitomo Mitsui Financial Group, Inc., which indirectly owns 22.03% of all Promise voting rights.
        In accordance with a business alliance contract, Promise and Sumitomo Mitsui Financial Group provide high quality products and services that utilize the brands, know-how and other resources of the two companies. As of March 31, 2009, Promise has two directors who are affiliated with Sumitomo Mitsui Banking Corporation. In addition, Promise and Sumitomo Mitsui Financial Group have a close relationship in the consumer finance business that includes the exchange of personnel, primarily in joint business activities.
        The business alliance contract is based on the premise that Promise and Sumitomo Mitsui Financial Group will conduct joint businesses as equal partners. Therefore, the alliance has no negative effect on the ability of Promise to operate independently as a publicly owned company with respect to determining management policies and business plans and conducting its business activities.
